I. General

  1. These General Terms and Conditions apply to the use of www.redbreastanalysis.com and the software, tools, applications and calculations made available on that website or in any other form (the “Software“). By accepting these Terms and Conditions or using the Software you agree to be bound to these Terms and Conditions.
  2. The Software is made available to you by Redbreast Associates N.V., Anna van Buerenplein 41, 2595 DA The Hague (“Redbreast“).   3. Redbreast reserves the right to change or update these General Terms and Conditions at any time without prior notice.

II. Disclaimer

  1. The Software is made available free of charge with a view to encouraging a more rational and quantitative approach to the assessment of legal disputes but does not in any way replace or intend to replace proper legal and financial advice in individual cases.
  2. ALL USE OF THE SOFTWARE IS FOR THE OWN RISK AND ACCOUNT OF THE USER AND ALL LIABILITY OF REDBREAST OR ANY OF ITS AFFILIATES IS DISCLAIMED AND EXCLUDED. THE SOFTWARE DOES NOT PROVIDE ANY LEGAL, FINANCIAL OR OTHER TYPE OF ADVICE. THE SOFTWARE ONLY CALCULATES CERTAIN VALUES BASED ON THE USER’S INPUT. THOUGH WE STRIVE TO AVOID MISTAKES, OUR CALCULATIONS MAY CONTAIN ERRORS. IF YOU HAVE A CLAIM OR ARE PARTY IN A (POTENTIAL) LEGAL DISPUTE, ALWAYS CONSULT WITH YOUR LAWYER AND FINANCIAL ADVISERS.
  3. No rights can be derived from the outcomes calculated by the Software and Redbreast is not responsible for any consequences of sharing the those outcomes with anyone including but not limited to adversaries in legal disputes.
  4. Redbreast is not liable for any loss, whether such loss is direct, indirect, special or consequential, and including but not limited to any damage to computer systems or loss of data that results from the use of the Software by you or any other party.

III.  Use of the Software

  1. Redbreast provides the User with a non-exclusive, non-transferable right to use the Software for testing purposes only.
  2. You agree not to sell, rent, decompile, reverse engineer or modify the Software in any way, directly or indirectly through third parties.
  3. Redbreast reserves its right to modify, alter or delete (parts of) (the data) of the Software and to deny or limit your access to the Software, temporarily and permanently at its own discretion.

IV.  Rights to the Software

The Software and all its properties, including but not limited to all algorithms, designs, styles and logos used in and in relation to the Software, are subject to copyright and/or intellectual property rights held by Redbreast and its affiliates.

V.  Privacy and cookie policy

  1. A number of facilities on our website invite you to provide us with personal information, such as the contact form which you may submit if you are interested to learn more about our services and our email queries facilities. The purpose of these facilities is apparent at the point that you provide your personal information and we only use that information for those purposes. Outside these instances where you actively engage with us, our website or the Software does not collect your personal data.
  2. Our website uses Google Analytics, a web-based analytics tool that tracks and reports on the manner in which the website is used to help us to improve it. Google Analytics does this by placing small text files called ‘cookies’ on your device. The information that the cookies collect, such as the number of visitors to the site, the pages visited and the length of time spent on the site, is aggregated and therefore anonymous.
  3. You may refuse the use of cookies or withdraw your consent at any time by selecting the appropriate settings on your browser but please note that this may affect your use and experience of our website. You may also have the right to lodge a complaint in relation to Redbreast’s processing of your personal information with a local supervisory authority.
  7. If you object to the processing of your personal information, or if you have provided your consent to processing and you later choose to withdraw it, we will respect that choice in accordance with our legal obligations.
  8. Your objection (or withdrawal of any previously given consent) could mean that we are unable to perform the actions necessary to achieve the purposes set out above (see ‘How we use your personal information’) or that you may not be able to make use of the services and products offered by us. Please note that even after you have chosen to withdraw your consent we may be able to continue to process your personal information to the extent required or otherwise permitted by law, in particular in connection with exercising and defending our legal rights or meeting our legal and regulatory obligations.

VI.  Security

We implement security safeguards designed to protect your and our own data. We regularly monitor our systems for possible vulnerabilities and attacks. However, we cannot warrant the security of any information that you send us. There is no guarantee that data may not be accessed, disclosed, altered, or destroyed by breach of any of our physical, technical, or managerial safeguards.

VII.  Severability Clause

Should one or more provisions or parts of provisions of these General Terms and Conditions be or become partially or wholly invalid or unenforceable, the remaining provisions and/or parts of provisions of the General Terms and Conditions remain unaffected and in force.

VIII.  Governing law and jurisdiction

  1. These Terms and Conditions and your relation with Redbreast are governed by Dutch law.
  2. Any disputes arising out of your use of the Software between you or any other user and Redbreast that cannot be resolved amicably will be referred to The District Court of Amsterdam, the Netherlands, exclusively.
